License Agreement for FS Panel Studio Software IMPORTANT – PLEASE READ CAREFULLY This EULA is a legal agreement between you (either an individual or a single entity) and Ed Struzynski (ES) for the FS Panel Studio SOFTWARE PRODUCT which it accompanies, which includes computer software and may include associated media and "online" or electronic documentation ("SOFTWARE PRODUCT"). By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the SOFTWARE PRODUCT. This EULA may be repeated within SOFTWARE PRODUCT installation scripts or "online" documentation. Any such repetition is a reminder of an agreement you have already entered by commencing installation. SOFTWARE PRODUCT LICENSE The SOFTWARE PRODUCT and all related utilities are owned and Copyright 1999-2005 by Ed Struzynski, all rights reserved, and is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. 1 .GRANT OF LICENSE. This EULA grants you the following rights: a. SOFTWARE PRODUCT. ES grants to you a personal, nonexclusive license to install and use one copy of the SOFTWARE PRODUCT on a single computer. You may make a reasonable number of backup copies of the SOFTWARE PRODUCT on archival media pursuant to backups of the computer on which the SOFTWARE PRODUCT is installed; however, all such archival copies shall be solely for the purpose of restoring your computer configuration in the event of accidental loss of data or computer failure. b. Electronic Documents. Solely with respect to electronic documents included with the SOFTWARE PRODUCT, you may make an unlimited number of copies (either in hardcopy or electronic form), provided that such copies shall be used only for internal purposes and are not republished or distributed to any third party, online service or Internet site. c. Storage/Network Use. You may also store or install a copy of the SOFTWARE PRODUCT on a storage device, such as a network server, used only to install or run the SOFTWARE PRODUCT on your other computers over an internal network; however, you must acquire and dedicate a license for each separate computer on which the SOFTWARE PRODUCT is installed or run from the storage device. A license for the SOFTWARE PRODUCT may not be shared or used concurrently on different computers. d UPDATES. From time to time, ES may make available updates to the software. You may download and install or otherwise use those updates to the software that are released by ES for version 1.0 of the SOFTWARE PRODUCT. All updates to the SOFTWARE PRODUCT are governed by this Agreement, unless other license terms are provided with the update. 2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS a. Not for Resale Software. You may not resell, or otherwise transfer for value, the SOFTWARE PRODUCT. b. Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT. c. Rental. You may not rent, lease, or lend the SOFTWARE PRODUCT, or otherwise distribute the SOFTWARE PRODUCT on any online service or Internet site. d. Termination. ES may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts. 3. COPYRIGHT. All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and any copies of the SOFTWARE PRODUCT are owned by ES or its suppliers. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT like any other copyrighted material except that you may install the SOFTWARE PRODUCT on a single computer provided you keep the original solely for backup or archival purposes. As provided in Section 1(a), you may make a reasonable number of copies on archival media pursuant to backups of the computer on which the SOFTWARE PRODUCT is installed. 4. LIMITED WARRANTY ES warrants that (a) the SOFTWARE PRODUCT will perform substantially in accordance with the accompanying written materials (including "online" documentation) for a period of thirty (30) days from the date of receipt. To the extent allowed by applicable law, implied warranties on the SOFTWARE PRODUCT and hardware, if any, are limited to thirty (30) days. CUSTOMER REMEDIES. ES's and its suppliers’ entire liability and your exclusive remedy shall be, at ES's option, either (a) return of the price paid, or (b) repair or replacement of the SOFTWARE PRODUCT that does not meet MFN’s Limited Warranty and that is returned to ES with a copy of your receipt. This Limited Warranty is void if failure of the SOFTWARE PRODUCT has resulted from accident, abuse, or misapplication. Any replacement SOFTWARE PRODUCT will be warranted for the remainder of the original warranty period. YOU MUST ASSUME THE ENTIRE RISK OF USING THIS PRODUCT. NO OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ES AND ITS SUPPLIERS DISCLAIM ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO THE SOFTWARE PRODUCT. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL ES OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT, EVEN IF ES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
